10. Indemnification
You agree to indemnify and hold harmless TATY Services Canada Inc. from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Site, (b) information you submit through the Site, or (c) your violation of these Terms or applicable law.

If you access the Site from outside Canada, you are responsible for compliance with local laws where you live or work.
13. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree that any dispute, claim, or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the courts located in Toronto, Ontario, and you submit to the personal jurisdiction of those courts.

14. Dispute Resolution (Informal First)
Before starting a formal proceeding, you agree to contact us and give us 30 days to try to resolve the issue informally. Please include a short description of the concern and any relevant details so we can investigate and respond meaningfully.
15. Termination
We may suspend or terminate access to the Site at any time if we believe you have violated these Terms or if your use creates risk for the Site, other users, or our organization. 16. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
17. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy referenced on the Site, constitute the entire agreement between you and TATY Services Canada Inc. regarding the Site and supersede any prior or contemporaneous understandings.
18. Assignment
We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
19. No Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of TATY Services Canada Inc.
20. Modifications to These Terms
We may update these Terms from time to time. Changes will be effective 14 days after posting on this page, unless a change is required by law or is necessary to address immediate security or operational concerns (in which case it may be effective sooner).
